Syncopier — Terms of Service

Disclaimer

Syncopier is currently offered as an open beta. We aim for a stable and reliable service, but you accept that it is still in active development and may have occasional bugs, outages, or unexpected behaviour. Please take this into account when using it. The service is provided "as is", and neither Syncopier nor its operator is liable for any direct or indirect loss or damage arising from its use. Feedback and bug reports are welcome and help us improve.

1. Introduction

Syncopier is a digital service operated by a sole trader established in England, United Kingdom, trading as Syncopier ("Syncopier", "we", "us"). These Terms of Service govern your access to and use of our website, application, and related products and services (the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

What Syncopier is. Syncopier is a technology tool only. We are not a broker, dealer, exchange, investment firm, financial adviser, or trading-signal provider. We do not give financial, investment, tax, or legal advice, do not manage your funds or accounts, and do not recommend, originate, or execute any trade. The Service runs on the settings you choose, and every trading decision and instruction is yours.

If Syncopier becomes authorised or registered by the Financial Conduct Authority, its FCA status and firm reference number will be shown here.

2. Definitions

  • Account: a unique account created for you to access the Service.
  • Broker: a brokerage, futures data provider, prop firm, or trading platform that you connect to the Service.
  • Lead Account: a connected trading account whose orders and positions you choose to copy from.
  • Follower Account: a connected trading account that orders are copied to from a Lead Account.
  • Prop Firm: a proprietary trading firm that gives you an evaluation, simulated, or funded account under its own rules.
  • Subscription: a paid plan giving access to some or all features of the Service.
  • Syncopier: the platform at syncopier.com, the Syncopier product, and its operator.
  • Service: the Syncopier website, application, and related services.
  • Feedback: any suggestions or comments you send us about the Service.
  • You: the individual or entity using the Service.

3. Acknowledgment

These Terms govern your use of the Service and form the agreement between you and Syncopier. Your use of the Service depends on your acceptance of these Terms and of our Privacy Policy, Cookie Policy, Refund Policy, and Risk Disclosure. You confirm that you are at least 18 years old; the Service is not for anyone under 18.

4. Subscriptions

4.1 Subscription period

Some features require a paid subscription. Each plan is billed in advance on a recurring monthly basis. The applicable fee is shown at checkout and charged in US dollars unless stated otherwise there, plus any applicable taxes.

4.2 Renewals and trial conversion

Your subscription renews automatically each month using your payment method on file, unless cancelled. If you start with a 7-day free trial, it converts to a paid plan at the end of the trial unless you cancel first, and your first charge is taken at that point. By continuing past the trial or a renewal date, you authorise us to charge the applicable fee.

4.3 Cancellation

You can cancel at any time in your account settings or by contacting support. Cancellation takes effect at the end of your current paid period; you keep access until then and are not charged again unless you resubscribe. Cancelling during a free trial stops it converting to a paid plan. We do not give prorated refunds for partial use or mid-cycle cancellation.

4.4 Billing and fee changes

You must keep your billing details accurate. If a charge fails, we may suspend or end your access until payment is made. We may change our fees, with advance notice; changes take effect from your next billing period, and continued use means you accept them.

4.5 Refunds

Subscription payments are final and non-refundable for the current billing period. In exceptional cases we may issue a refund at our discretion. Nothing here affects statutory rights you have as a consumer (see our Refund Policy).

4.6 Trial policy

Only one free trial is allowed per user and payment method. Attempting to obtain multiple trials through different accounts, identities, or payment methods is not permitted, and we may suspend or close accounts that do so.

5. Use of the Service

5.1 Trade copier

Syncopier lets you copy trades from one of your accounts to others, across supported brokers and prop firms. You are solely responsible for every trade executed through the copier and for all resulting outcomes. You must follow the rules of your brokers and prop firms, including any that restrict or prohibit copy trading, and we are not responsible for account breaches, bans, lost funding, or penalties. We recommend testing with a small trade first. Our liability for the copier is limited to one month's subscription fee.

5.2 Account management and reverse trading

You may use the Service only for accounts you own and are entitled to trade. Managing accounts owned by anyone other than yourself, and reverse or mirrored trading arrangements, may breach broker or prop firm rules and can result in termination of your account.

5.3 Prohibited uses

You agree not to use the Service: in breach of any law or regulation; for any fraudulent, deceptive, or market-manipulative purpose; to trade for anyone other than yourself; to harm others; to upload malware or harmful code; or to impersonate any person or misrepresent your affiliation.

5.4 Third-party integrations

The Service may connect with third-party platforms, but we cannot guarantee full compatibility or continuous operation. You are responsible for issues arising from third-party software or platform changes, and we are not liable for disruptions caused by them.

5.5 Service availability

We aim for a reliable service but do not guarantee uninterrupted availability. The Service may be interrupted for maintenance, upgrades, or other reasons, and we are not liable for loss arising from unavailability.

5.6 User responsibility for execution

The copier requires your oversight. You are responsible for checking that trades execute correctly and for regularly reviewing that the Service meets your expectations.

6. User accounts

You must provide accurate, complete, and current information, and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. Do not share your password, and tell us immediately if you become aware of unauthorised use.

7. Content

You keep ownership of any content you submit, and you grant us a licence to use it as needed to operate the Service. You are responsible for ensuring your content is lawful and does not infringe others' rights. We may remove content at our discretion.

8. Links to other websites

The Service may link to third-party sites we do not control. We are not responsible for their content or practices, and encourage you to review their terms and privacy policies.

9. Intellectual property

The Service and its content, features, and functionality are and remain our property, protected by intellectual-property law. No rights are granted to you except the right to use the Service under these Terms.

10. Termination

We may suspend or terminate your account immediately, without notice, if you breach these Terms or the law. On termination your right to use the Service ends. You may terminate your account by discontinuing use.

11. Feedback

By giving us feedback, you grant us a perpetual, irrevocable, royalty-free right to use it without restriction or obligation to you.

12. Limitation of liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages, including loss of profits, trading losses, or data.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any statutory rights you have as a consumer that cannot be excluded.

12.1 Indemnity

You agree to defend, indemnify, and hold us harmless from any claims, liabilities, damages, losses, and expenses arising from your use of the Service or your breach of these Terms.

13. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranty of any kind, express or implied, including satisfactory quality, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

14. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any non-excludable rights of consumers resident elsewhere.

14.1 Compliance with trading regulations

You agree to comply with all laws and regulations that apply to your trading, including any licensing required if you operate a public trading-signal service or trade for others. We are not liable for your failure to meet regulatory or licensing requirements.

15. Changes to these Terms

We may modify these Terms at any time. If a change is material, we will give notice before it takes effect. Continued use after that means you accept the revised Terms.
